1. Introduction

1.1 Varsi Inc ("Varsi," "we," or "us") operates this Site and related services that help organizations create and distribute training content. These Terms govern your access to and use of our websites, applications, and services unless a separate agreement is signed.

1.2 By using our services you represent that you have the legal authority to bind any organization on whose behalf you sign up and that you accept these Terms. If you do not agree with these Terms, you may not use the services.

1.3 We may update these Terms from time to time. When material changes are made, we will provide notice through the Site, via email, or by other means. Your continued use following notice constitutes acceptance of the updated Terms.

2. Account Creation & Verification

2.1 You must create an account to access certain features. Accurate and complete information must be provided during registration, and you are responsible for maintaining the confidentiality of your credentials.

2.2 You agree to notify us immediately if you suspect any unauthorized use of your account. We may suspend or terminate accounts that are inactive for extended periods or that violate these Terms.

2.3 We may require identity verification for certain features, including but not limited to billing, administrative access, or enterprise-level integrations.

3. Copyright & Intellectual Property

3.1 You retain ownership of content you upload to the service, subject to the licenses you grant to Varsi. By uploading, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and perform the content as necessary to provide the service.

3.2 You represent that you own or have the necessary rights to upload any content, and you will not upload content that infringes on others' intellectual property rights. We will respond to valid takedown notices in accordance with applicable law.

4. Payment of Fees

4.1 Certain features may be fee-based. If you elect a paid plan, you authorize us to charge your chosen payment method for the fees indicated at the time of purchase and any recurring fees according to the billing cycle.

4.2 Refunds, prorations, and cancellations are handled according to the plan terms provided at purchase. We reserve the right to change pricing on future renewals with prior notice where required by law.

5. Account Plan Changes & Cancellations

5.1 You may upgrade, downgrade, or cancel your subscription through the account dashboard. Plan changes during a billing cycle may be prorated according to the unused portion of the prior plan, where applicable.

5.2 We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk. Upon cancellation, your access will end at the conclusion of the paid period unless otherwise indicated.

6. Limited Liability

6.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VARSI'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS AND THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO VARSI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES.

6.2 Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; therefore, some of the above limitations may not apply to you in full.

7. Governing Law

7.1 These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Varsi is incorporated, without regard to its conflict of law rules. Any disputes arising under or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, except where prohibited by law.

7.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.
